Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Yeroku Limited ("Yeroku," "we," "us," or "our") governing your access to and use of the Yeroku platform, including our website, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

Definitions

Account Terms

To use the Service, you must be at least 18 years old and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these eligibility requirements.

Account Registration

To access certain features of the Service, you must create an Account. When creating your Account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

Account Security

You are responsible for safeguarding your password and any other credentials used to access the Service. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security. One Account Per User

You may only create and maintain one Account. If we discover that you have created multiple Accounts, we reserve the right to terminate all of your Accounts without notice.

Service Description

Yeroku is a portfolio-first platform designed for beauty professionals, including hairstylists, salon owners, nail technicians, estheticians, and barbers. The Service enables you to:

• Create and customize professional portfolios showcasing your work
• Manage and optimize your online presence
• Connect with potential clients in your area
• Access business growth tools designed for the beauty industry
• Integrate with third-party platforms and services

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Post or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Upload or transmit viruses, malware, or any other malicious code
• Attempt to gain unauthorized access to the Service, other Accounts, or computer systems or networks connected to the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use any automated system, including bots, scrapers, or spiders, to access the Service
• Collect or harvest any information from the Service without our express written consent
• Use the Service to send unsolicited commercial communications (spam)

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing Content, suspending or terminating Accounts, and reporting violations to law enforcement authorities.

User Content

Ownership

You retain all ownership rights to your User Content. By posting User Content on the Service, you do not transfer ownership of that Content to Yeroku.

License Grant

By posting User Content on the Service, you grant Yeroku a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content in connection with operating and providing the Service.

Content Representations

You represent and warrant that:

• You own or have the necessary rights to post your User Content and grant the license described above
• Your User Content does not infringe any third party's intellectual property rights, privacy rights, or other legal rights
• Your User Content complies with these Terms and all applicable laws and regulations
• If your User Content includes images of clients or their work, you have obtained their consent to display such images on the Service

Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable. We are not obligated to monitor User Content but may do so at our discretion.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Yeroku and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Yeroku name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yeroku or its affiliates. You may not use these marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to:

• Modify or copy the Service or its content
• Use the Service for any commercial purpose not expressly permitted
• Attempt to decompile, reverse engineer, or disassemble the Service
• Remove any copyright or proprietary notices from the Service
• Transfer the license to another party

Payment Terms

Subscription Plans

Yeroku offers both free and paid Subscription plans. Paid plans provide access to additional features and functionality. Details of available plans and pricing are available on our website.

Billing

If you choose a paid Subscription, you agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis, depending on the plan you select. Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Payment Methods

We accept major credit cards, debit cards, and other payment methods as indicated on our website. You authorize us to charge your selected payment method for all fees due.

Refunds

Subscription fees are generally non-refundable, except as required by law or as expressly stated in these Terms. If you believe you are entitled to a refund, please contact our support team.

Price Changes

We reserve the right to change our prices at any time. If we change our prices, we will provide you with at least 30 days' notice before the new prices take effect. Your continued use of the Service after the price change constitutes your acceptance of the new prices.

Termination

Termination by You

You may terminate your Account at any time by contacting us or using the account deletion feature in your Account settings. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Conduct that we determine is harmful to other users or the Service
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity

Effect of Termination

Upon termination, all licenses and rights granted to you in these Terms will immediately cease. You will no longer have access to your Account or any Content stored in the Service. We are not obligated to retain or provide copies of your Content after termination.

Disclaimers

To the fullest extent permitted by law, Yeroku disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

Any Content downloaded or otherwise obtained through the Service is accessed at your own risk, and you will be solely responsible for any damage to your device or loss of data that results from such download.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Yeroku, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Loss of goodwill or reputation
• Cost of substitute services
• Any other intangible losses

This limitation applies regardless of whether the damages arise from use or misuse of the Service, inability to use the Service, or any other interactions with the Service, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising from or related to the Service exceed the amount you paid to Yeroku in the twelve (12) months preceding the claim, or one hundred pounds (GBP 100), whichever is greater.

Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by:

• Posting a notice on our website
• Sending an email to the address associated with your Account
• Displaying a prominent notice within the Service

Material changes will become effective thirty (30) days after we post the updated Terms or send you notice, unless we indicate otherwise. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your Account as described in the Termination section.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of England and Wales. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Yeroku.
